EULA - End User License Agreement

END-USER LICENSE AGREEMENT FOR

FUNKY ERP

IMPORTANT-READ CAREFULLY:

This FUNKY ERP End-User License Agreement ("Agreement") is valid for the above mentioned FUNKY ERP software. This Agreement is a legal agreement between you (either an individual or a single entity) and FUNKY ERP for the FUNKY ERP software product(s) identified above which may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE"). The term "SOFTWARE" also shall include any upgrades, modified versions or updates of the SOFTWARE licensed to you by FUNKY ERP. By installing, copying, or otherwise using the SOFTWARE, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the SOFTWARE.

The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE is licensed, not sold.

Upon your acceptance of this Agreement, FUNKY ERP grants to you a nonexclusive license to use the SOFTWARE, provided that you agree to the following:

I. GRANT OF LICENSE.

(1) Installation and Use.
You may install and use an unlimited number of copies of the SOFTWARE on computers at your premises. Each computer may be connected at any point in time to an unlimited number of workstations or computers operating on one or more internal and/or external networks.

(2) Backup Copies.
You may also make copies of the SOFTWARE as may be necessary for backup and archival purposes.

II. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

(1) Maintenance of Copyright Notices.
You must not remove or alter any copyright notices on all copies of the SOFTWARE.

(2) Distribution.
You are hereby licensed to make as many copies of the SOFTWARE as you wish; give exact copies of the original SOFTWARE to anyone; and distribute the SOFTWARE in its unmodified form via electronic means. There is no charge for any of the above.

You are specifically prohibited from charging, or requesting donations, for any such copies, however made; and from distributing the SOFTWARE with other products (commercial or otherwise) without prior written permission from FUNKY ERP.

(3) Prohibition on Reverse Engineering, Decompilation, and Disassembly.
You may not reverse engineer, decompile, or disassemble the SOFTWARE, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

(4) Compliance with Applicable Laws.
You must comply with all applicable laws regarding use of the SOFTWARE.

III. TERMINATION.

Without prejudice to any other rights, Viami Solution may terminate this Agreement if you fail to comply with the terms and conditions of this Agreement. In such event, you must destroy all copies of the SOFTWARE.

IV. COPYRIGHT.

All title, including but not limited to copyrights, in and to the SOFTWARE and any copies thereof are owned by FUNKY ERP or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This Agreement grants you no rights to use such content. All rights not expressly granted are reserved by FUNKY ERP.

V. DISCLAIMER OF WARRANTY.

THE SOFTWARE AND DOCUMENTATION ARE PROVIDED AS IS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FUNKY ERP FURTHER DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE AND DOCUMENTATION REMAINS WITH YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FUNKY ERP OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE PRODUCT, EVEN IF FUNKY ERP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

VI. GOVERNING LAW.

This Agreement is governed by the Internation copyright laws.
